3. Consulting Services

3.1 Service Engagement

All consulting services provided by H Ann Edwards Ltd are subject to a separate written agreement or proposal that specifies the scope of work, deliverables, timeline, fees, and other terms specific to the engagement. These Terms apply to all such engagements unless expressly modified in writing.

3.2 Client Responsibilities

When engaging our services, you agree to:

• Review and provide feedback on deliverables within agreed timeframes
• Ensure appropriate personnel are available to participate in the engagement

4. Fees and Payment

4.1 Fee Structure

Fees for our services will be specified in the proposal or engagement letter. Unless otherwise stated:

• Fees are quoted exclusive of VAT or other applicable taxes
• Expenses (travel, accommodation, materials) will be charged at cost or as specified in the agreement
• Additional work outside the agreed scope will require a change order and may incur additional fees

4.2 Payment Terms

Unless otherwise agreed in writing:

• An initial deposit of 50% is required before work commences
• Remaining fees are due upon completion of milestones or final delivery, as specified
• Payment is due within 14 days of invoice date
• Late payments may incur interest at 8% above the Bank of England base rate

4.3 Cancellation

Either party may terminate the engagement with 14 days written notice. In the event of cancellation:

• You will be invoiced for all work completed up to the termination date
• The initial deposit is non-refundable if work has commenced
• Any prepaid fees for uncompleted work will be refunded pro-rata

5. Limitation of Liability

To the fullest extent permitted by applicable law, H Ann Edwards Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, use, goodwill, or other intangible losses
• Damages resulting from business interruption
• Damages arising from reliance on recommendations or advice provided
• Damages resulting from decisions made based on our deliverables

Our total liability to you for all claims arising from or relating to our services or these Terms shall not exceed the total amount paid by you to us for the specific services giving rise to the liability.

Nothing in these Terms excludes or limits our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any matter for which it would be unlawful to exclude or limit liability

6. Indemnification

You agree to defend, indemnify, and hold harmless H Ann Edwards Ltd, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to legal fees) arising from:

• Your use of and access to the website
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your use of the website caused damage to a third party

These Terms, together with our Privacy Policy and any written engagement agreement, constitute the sole and entire agreement between you and H Ann Edwards Ltd regarding the website and our services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.

12. Waiver

No waiver of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
